PUBLIC OFFER

This document is an official proposal (public offer) of Aspex Group LLP (hereinafter referred to as the “Contractor”) to any legal entity or individual (hereinafter referred to as the “Customer”) to conclude a paid services agreement on the terms set out below in accordance with Articles 395–399 of the Civil Code of the Republic of Kazakhstan.
The fact of acceptance (confirmation of consent) means that an agreement has been concluded between the Contractor and the Customer.

1. General Provisions
1.1. This offer is public and remains valid indefinitely until revoked by the Contractor.
1.2. Full and unconditional acceptance of the offer is recognized as payment by the Customer for the Contractor’s Services by any available method, including payment via online acquiring.
1.3. The Contractor has the right to amend the terms of this offer unilaterally by posting the current version on the website https://aspex.cloud

2. Subject of the Agreement
2.1. The Contractor undertakes to provide the Customer with services in the field of information technology, analytics, automation, and implementation of solutions based on artificial intelligence, and the Customer undertakes to pay for the services rendered.
2.2. The list, cost, and terms of specific services are determined by agreement of the parties (including a commercial proposal, invoice, or application).

3. Rights and Obligations of the Parties
3.1. The Contractor shall:
• provide services of proper quality and within the agreed timeframes;
• provide the Customer with the necessary information about the services;
• ensure the confidentiality of the Customer’s information.
3.2. The Customer shall:
• provide accurate data necessary for the provision of services;
• pay for the services in a timely manner;
• not transfer their rights and obligations under the agreement to third parties without the Contractor’s consent.

4. Cost and Payment Procedure
4.1. The cost of services is determined by agreement of the parties and is specified in the invoice or commercial proposal.

4.2. Payment for services may be made:
• by bank transfer to the Contractor’s settlement account,
• via online acquiring (using Visa, Mastercard, and UnionPay bank cards through ForteBank JSC).

4.3. The rules for online payment, refunds, and payment security are posted in the “Payment and Refund” section of the website at: http://aspex.cloud/paymentandreturns/eng and constitute an integral part of this offer.

5. Liability of the Parties
5.1. The parties shall be liable for non-performance or improper performance of obligations in accordance with the legislation of the Republic of Kazakhstan.

5.2. The Contractor shall not be liable for:
• inability to provide services due to the fault of the Customer;
• disruptions in the operation of internet providers, banking, and payment systems.

5.3. The Company shall not be liable for the Customer’s losses resulting from improper use of the product/service.

5.4. The parties shall be released from liability for partial or complete non-performance of obligations under the agreement if this is caused by force majeure circumstances.

6. Confidentiality and Personal Data
6.1. The Contractor processes the Customer’s personal data in accordance with the Privacy Policy posted on the website http://aspex.cloud/privacypolicy/eng
6.2. The Contractor does not process or store bank card data. All transactions are carried out through the secure systems of ForteBank JSC.

7. Term and Termination of the Agreement
7.1. The agreement enters into force from the moment of acceptance of the offer and remains valid until the parties fully perform their obligations.
7.2. The Customer has the right to refuse services in accordance with the procedure established in the “Payment and Refund” section of the website: http://aspex.cloud/paymentandreturns/eng

10. Final Provisions
10.1. This offer remains valid indefinitely and may be amended by the Company unilaterally without prior notice to the Customer.
10.2. In all other matters not regulated by this offer, the Parties shall be governed by the applicable legislation.
